Data Privacy Addendum

For A to Zenith, LLC dba Land Surveyors United (LSU)

  1. Introduction

This Data Privacy Addendum (“Addendum”) is an agreement between A to Zenith, LLC dba Land Surveyors United ("LSU") and the Members ("LSU Member"), collectively referred to as the “Parties.” This Addendum supplements the existing agreements (Terms of Service) between LSU and LSU Member for as long as the Parties maintain a business relationship. In the event of any conflict between the terms of this Addendum and other agreements, the terms of this Addendum shall control.

  1. Definitions

2.1 End User: A human end user of LSU Member’s Target Service.

2.2 Target Service: Any site, product, or service offered by LSU Member to which LSU provides Services per LSU Terms of Service, including but not limited to any service, product, creative work, advertisement, or content associated with or available through the LSU Member.

2.3 LSU Member: Any community member using LSU’s Services or platform.

2.4 Personal Information (PI): As outlined in LSU’s Privacy Policy, PI encompasses raw or processed data that identifies, could identify, or locates a natural person, including but not limited to name, address, email, phone number, and sensitive data. PI does not include anonymized or truncated IP addresses.

2.5 Sensitive Data: Includes any data subject to higher protection standards under local law, such as social security numbers, financial account details, precise health information, or genetic/family medical history. In certain jurisdictions, Sensitive Data also includes information revealing race, political opinions, religious beliefs, trade union membership, and health or sexual information.

2.6 User Data: Anonymous and non-personal data relating to an End User or group of End Users.

  1. Obligations, Representations, and Warranties

3.1 Compliance with Laws: Both Parties are and will remain compliant with all applicable laws, regulations, and guidelines related to data protection, including those from jurisdictions where End Users reside.

3.2 Collection and Use of Personal Information: LSU will collect and use Personal Information only with explicit End User consent, as outlined in LSU’s Privacy Policy. This consent shall be informed, obtained directly by LSU through the Target Service, or as provided to LSU Member by LSU, subject to applicable privacy terms and instructions.

3.3 Editing or Erasing Personal Information: LSU Member agrees to immediately edit or erase, where applicable, any PI that LSU requests to be erased, as directed by the End User.

3.4 Privacy Policy Compliance: LSU Member shall ensure that all Target Services are compliant with privacy policies and provide full disclosure of data collection practices in alignment with local and international data protection laws.

3.5 Restrictions on Sharing PI: LSU Member shall not share, send, or upload any PI to LSU without explicit End User consent for collection, sharing, and use as per LSU’s Privacy Policy.

3.6 Safeguarding Data: Both Parties shall apply appropriate security measures to protect and safeguard any PI and restrict access.

3.7 Notifying Each Other of Data Requests: Each Party shall notify the other Party in writing of any restriction on sharing or using User Data and/or PI, or any request from an End User to update, edit, or erase Personal Information.

3.8 Responsibilities and Indemnification:

  • Data Collection Responsibility: LSU Member acknowledges that it is responsible for ensuring all data collection practices are transparent, consented to, and compliant with disclosures provided to End Users.
  • Indemnification: Each Party shall indemnify, defend, and hold harmless the other Party and its affiliates, directors, officers, employees, agents, licensors, and assigns from any and all losses, damages, liabilities, costs, and expenses arising from any breach of obligations under this Addendum, or any unlawful or negligent act related to data protection laws.
  • Liability Cap: Each Party’s aggregate liability for all claims under this Addendum shall not exceed the fees paid by LSU Member to LSU within the twelve (12) months preceding the date of any claim.
  1. Data Sharing and Disclosure

4.1 User Permissions: Public content posted by users is accessible on the platform and may be freely accessed or redistributed by others.

4.2 Third-Party Partners: Data may be shared with trusted third-party partners for specific purposes and under strict data protection guidelines, as outlined in LSU’s Privacy Policy.

4.3 Legal Compliance: Both Parties agree to disclose information as required by law or for purposes related to legal disputes, safety, or emergencies, where necessary.

4.4 Business Transitions: In the event of a merger or acquisition, any transferred data will be handled in compliance with LSU’s Privacy Policy and applicable law.

  1. International Data Operations

LSU operates internationally and adheres to data transfer and processing practices compliant with the applicable laws and regulations in each jurisdiction where LSU or LSU Member operates.

  1. Data Retention

Data collected through LSU’s Services will be retained only as long as necessary for fulfilling contractual or legal obligations, or as outlined in LSU’s Privacy Policy.

  1. User Rights and Data Management

LSU Members and End Users have the right to access, edit, and delete PI as per the applicable jurisdiction’s data protection laws. LSU and LSU Member will respect these rights in accordance with the relevant privacy regulations.

  1. Minors

The LSU platform is not intended for use by individuals under 16 years of age. LSU and LSU Member shall take reasonable steps to ensure that no PI from minors is knowingly collected or processed.

  1. Amendments

This Addendum may be updated from time to time to reflect changes in legal requirements or LSU’s business practices. Substantial changes will be communicated via LSU’s platform.
